Course Overview

A loan is only as good as its paperwork. This course takes bankers and borrowers clause by clause through modern loan documentation — facility agreements, security packages, guarantees and intercreditor arrangements — explaining what each provision is for, where the negotiation genuinely matters, and which drafting failures create losses when credits deteriorate. Based on LMA-style documentation and adapted to Southern African security law.
